1. Introduction

This End-User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Big Shoulders Restoration LLC ("Company," "we," or "us") for the use of the Big Shoulders Restoration Manager application and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by the terms of this Agreement.

2. License Grant

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include:

• The right to sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit the Service
• The right to modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Service
• The right to access the Service in order to build a competitive product or service
• The right to copy any features, functions, or graphics of the Service

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Data Usage and Ownership

You retain all rights to the data you input into the Service ("Your Data"). By using the Service, you grant us a limited license to use Your Data solely for the purpose of providing and improving the Service. We will not sell, share, or use Your Data for any purpose other than as described in our Privacy Policy.

The Service integrates with third-party services, including QuickBooks, for payroll and financial data synchronization. Your use of such integrations is subject to the terms and privacy policies of those third-party services.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or its related systems
• Upload or transmit viruses, malware, or other malicious code
• Use the Service to store or transmit infringing, libelous, or otherwise unlawful material

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Big Shoulders Restoration LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BIG SHOULDERS RESTORATION LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach this Agreement. Upon termination, your right to use the Service will immediately cease. All provisions of this Agreement which by their nature should survive termination shall survive.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Cook County, Illinois.

11. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify users of any material changes by posting the new Agreement on this page and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Agreement.
